According to management, discussions with Rimrock Exploration Partners continue as both parties work to finalize definitive agreements, subject to due diligence, documentation and customary approvals.

Based on historical technical information made available to the company, the project includes approximately 77 unpatented federal mining claims covering roughly 1,540 acres within Nevada’s Battle Mountain Mining District. Management said the project contains multiple drill-ready exploration targets and geological features that warrant further technical evaluation, while noting that comparisons to other porphyry systems are provided for geological context only and do not imply similar mineralization or economic potential.

In addition, American Gold & Copper said it has engaged a PCAOB-registered accounting firm to audit its financial statements for the previous two fiscal years as part of its plan to become a fully reporting SEC company. The company has also selected a sponsoring broker to prepare a Rule 15c2-11 application with FINRA.
