Dyne Therapeutics (DYN) has announced the pricing of an upsized underwritten public offering of 18.3M shares of its common stock at $20.50 per share.

Gross proceeds from the offering are expected to reach approximately $375.15M before deducting underwriting discounts, commissions, and estimated offering expenses—upsizing the deal from its initially proposed $300 million offering announced on Tuesday.

Following the announcement, Dyne Therapeutics stock faced downward pressure, falling 10.6% to $21.30 in after-hours trading.

Under the terms of the transaction, underwriters have been granted a 30-day option to purchase up to an additional 2.75M shares at the public offering price.

Morgan Stanley, Jefferies, Evercore ISI, LifeSci Capital, and Raymond James are acting as joint book-running managers, with Jones serving as lead manager.

Subject to customary closing conditions, the offering is slated to close on or about July 23, 2026.

All shares are being sold directly by Dyne to advance its clinical pipeline targeting genetically driven neuromuscular diseases, including Duchenne muscular dystrophy (DMD) and myotonic dystrophy type 1 (DM1).
